The position
The Senior Manager, Funds Company Secretarial reports to the Associate Director of the CLS Department. This role would be ideally suited for a qualified company secretary with 5+ years of experience with in-house and/or funds company secretarial experience who is looking to build on their existing company secretarial knowledge and experience in the in-house and regulated funds industry. The portfolio will include a mix of regulated funds clients.
Your responsibilities

  • Independently manage a portfolio of clients, which will include funds and in-house entities
  • Manage general legal and company secretarial aspects of the companies under his/her management
  • Collate board packs by preparing the agenda and requesting all board reports in in timely manner and circulation to the relevant parties
  • Schedule, manage and attend board and committee meetings, to accurately capture and prepare detailed minutes of the proceedings of the meetings and circulate minutes and action points arising therefrom
  • Ensure that all relevant regulatory and statutory filings are completed on timely basis
  • Ensure all statutory books and records are maintained and kept up to date
  • Arrange for the execution of specific transactions such as capital increases, participations, distribution of dividends, granting or obtaining loan facility
  • Analyze, evaluate and discuss specific client and prospect requests
  • Provide necessary guidance and support to the wider team including Directors, committee members, junior members and Designated Persons
  • Cover for other company secretarial team members as and when required
  • Provide relevant support and guidance general support in relation to Companies Act 2014 and regulatory funds requirements by CBI


Your profile

  • University degree
  • CGI qualified
  • At least 5 or more years of relevant experience required
  • Excellent and detailed minute taking experience
  • Experience in company secretarial funds and/or in-house
  • Good knowledge of CBI requirements for regulated funds deliverables
  • Fluency in English
  • Outgoing, confident and friendly personality
  • Have entrepreneurial and commercial awareness
  • Experience working in a fast paced and demanding role
  • Confident in dealing with stakeholders at all levels
  • Delivering to strict deadlines
  • Ability to multi-task and manage priorities effectively
  • Ability to work autonomously
  • Diligent Board Room knowledge is a plus
