Senior Manager, Funds Company Secretarial

About the Role
We are looking for an experienced and qualified Company Secretary to join our Corporate Legal Services team as a Senior Manager, Funds Company Secretarial. Reporting to the Head of Corporate Governance, this role is ideal for a professional with 5+ years of in-house and/or funds company secretarial experience. You will oversee a portfolio of regulated fund clients and play a key role in ensuring compliance with corporate governance and regulatory requirements.
Key Responsibilities
- Independently manage a portfolio of clients, including regulated funds, SPVs and operating entities.
- Oversee all legal and company secretarial aspects of client companies.
- Prepare board packs, including drafting agendas, collating reports, and ensuring timely circulation to relevant stakeholders.
- Schedule, manage, and attend board and committee meetings, taking accurate and detailed minutes and circulating action points.
- Ensure timely completion of all relevant regulatory and statutory filings.
- Maintain up-to-date statutory books and records.
- Facilitate transactions such as capital increases, participations, dividend distributions, and loan arrangements.
- Analyse and respond to client and prospect requests, providing expert guidance.
- Support Directors, committee members, junior team members, and Designated Persons.
- Provide company secretarial cover for team members as required.
- Offer guidance on compliance with the Companies Act 2014 and CBI regulatory requirements for funds.
What We're Looking For
- University degree.
- Qualified Chartered Governance Institute (CGI) professional - ACG/FCG
- Minimum of 5 years of relevant company secretarial experience.
- Strong experience in detailed minute-taking.
- Background in funds company secretarial and/or in-house governance.
- Good knowledge of CBI regulatory requirements for funds.
- Fluent in English with excellent communication skills.
- Confident, professional, and personable approach.
- Strong commercial awareness and ability to operate in a fast-paced environment.
- Ability to manage multiple priorities and deliver to strict deadlines.
- Comfortable engaging with stakeholders at all levels.
- Ability to work independently and take initiative.
- Experience with Diligent Board Room software is an advantage.
