Role Description & Key Responsibilities

We are looking for an exceptional commercial lawyer to work within our European Legal Team who has a solid background in financial services. The role covers a broad range and variety of contractual, legal and regulatory matters across multiple business areas but with a focus on FNZ’s European business, its clients and supplier contracts. As part of the commercial contracts role will require consideration of the regulatory aspects of FNZ’s regulated entities in Europe, in particular FNZ (Europe) DAC, an investment firm authorised in Ireland under MiFID with clients and business operations throughout Europe, exposure to working with financial services is desirable.

The ideal candidate is someone who has a passion for delivering complex legal projects, an analytical mindset and curiosity, as well as good organisational skills. This candidate can navigate a complex, multi-facetted, fast paced business and can link in with multiple teams across the business to generate the best legal and commercial outcomes for FNZ.

Key Responsibilities:

  • Work collaboratively with the European and global legal teams and cross-functionally with internal stakeholders.

  • Provide legal advice on commercial, and corporate matters in a financial services environment.

  • Draft, negotiate and manage a wide range of commercial and strategic contracts with clients, suppliers and partners, at the outset and during the life cycle of these contracts.

  • Provide legal support (with the assistance of local jurisdiction external counsel) to FNZ’s European business operations, including monitoring on legal developments in the region.

  • Ensure supplier contract management workflows and systems are kept up to date and in line with regulatory requirements.

  • Develop and implement contract templates and contract-related process improvements.

  • Support the drafting and maintenance of Group inter-company outsourcing agreements in compliance with relevant outsourcing guidelines, in a regulated context.

  • Manage relationships with key external legal advisers.

Experience required

  • Admitted as a solicitor/barrister in the UK, Ireland or equivalent bar admission in an EU jurisdiction with 10+ years post qualification experience in a commercial/financial services environment in private practice, for a big four or in-house in the financial services sector

  • Strong contract review and drafting skills combined with a practical approach to contract negotiation and ability to influence and provide direction on complex agreements, in particular, technology contracts in the financial services industry (SaaS, business process outsourcing, managed services, SLA’s).

  • Experienced in the regulated financial services sector in the EU, and in particular Ireland and ideally the Nordics; having good knowledge of European and ideally Irish financial services law, its regulatory framework and how this affects contractual regulations, operations, and outsourcing.

  • Fintech exposure and Financial Services sector experience gained with or within a MiFID investment firm or regulated bank desirable, ideally with an operations understanding.
