The role of manager at Waystone is an integral part of the Fund Governance and Center of Excellence (“COE”) teams, working closely with the Managing Directors, Directors and multiple teams within the COE to ensure client service delivery across multiple product lines. The role will be responsible for servicing a diverse, complex portfolio of clients by performing Board Support functions (including but not limited to the preparation of board minutes, maintaining exception data and managing, training and mentoring of team members). The minimum expectation of the role is that the employee will:

· Produce draft minutes for clients' Board meetings.

· Respond to internal email queries.

· Abide by minutes team's written procedures.

· Undertake such minutes related project work as might be assigned.

· Circulate Board minutes to internal stakeholders no later than 20 days post a meeting.

· Review Board minutes before these are circulated.

· Act as the first point of contact for queries from junior members of the team.

· Monitor and assess the performance of direct reports, managing those direct reports.

· Be involved with fee related tasks and invoicing.

· Train and mentor junior members of the team.

· Track deliverables for the minutes team, ensuring minutes are delivered within 20 days.

· Produce management reporting.

· Assist with recruitment for the Board Support team.

· Produce, maintain and refine procedures/ processes for the minutes team.

· Design, refine and manage projects impacting the minutes team.

· Assist the team with out of office coverage when members of team are out of the office.

· Actively chair team meetings, share key learning and knowledge lessons.

· Assist with special projects, as required by the BSS Associate Director. Complete weekly, monthly and quarterly database and regulatory projects and update BSS Associate Director accordingly.

· Work with BSS Associate Director to develop and manage improvements and efficiencies.

· Ensure all relevant databases, software and online portal facilities contains accurate information and that information is consistently updated as appropriate.

· Keep abreast of all industry development and regulatory changes.

· Organizing meetings, liaising with all attendees, gathering and distribution of materials for presentation to the board of directors, preparation of notices or agendas, attendance at board meetings.

Education:

· At least five years’ company secretarial experience in the funds/financial sector.

· ICSA qualification is preferable.

Experience:

· Outstanding knowledge and experience with minute taking.

· Knowledge of corporate governance, hedge fund documentation, relevant laws and regulatory requirements are advantageous.

· Ability to thrive in a fast-paced environment, meet tight deadlines and experience with supporting/mentoring other team members.

· Exceptional communication and organizational skills.

· Excellent time management, attention to detail, critical thinking skills and the ability to think commercially.

· Adept at building professional working relationships with senior management and clients.

· Proficient in Microsoft Word, Excel and PowerPoint.
