Key Responsibilities:
Legal Advisory & Transaction Support
Provide legal advice and support on the negotiation, and execution of SRT transactions.
Draft and/or review transaction documentation including, term sheets, insurance policies, financial guarantees, reinsurance agreements, and ancillary documentation.
Support underwriting teams in contractual interpretation and in assessing legal risks and regulatory implications.
Legal transaction management of closing of SRT transactions, including internal governance and approvals and liaising with external counsel.
Provide legal support on development of new products to support credit protection of new asset classes.
Provide legal support on other projects and initiatives as required,
Regulatory Compliance
Monitor and interpret European regulatory developments relevant to SRT, including Securitisation Regulations, CRR, Solvency II, Basel rules.
Ensure compliance with insurance regulations in key jurisdictions (e.g., Ireland, EU, UK) and with internal group operating guidelines.
Stakeholder Engagement
Liaise with external counsel, cedents, and (re)insurers to facilitate transaction execution.
Collaborate with internal teams within the Group including, risk, finance, and compliance.
Qualifications & Experience:
Qualified solicitor in a relevant jurisdiction (e.g., Ireland, UK, EU).
5+ years post-qualification experience, ideally within private practice in a leading law firm or inhouse in banking, financial services or (re)insurance.
Working knowledge of EU insurance regulatory framework and /or EU Securitisation Regulations
Familiarity with securitisation structures, including synthetic securitisations and capital relief transactions.
Experience with cross-border transactions and multi-jurisdictional legal issues.
Excellent communication and interpersonal skills to collaborate effectively with business clients, lawyers, administrative staff, external regulators and insurance industry contacts.
Desirable Attributes:
Experience working in-house within a (re)insurer or financial institution.
Knowledge of debt capital markets and structured finance instruments.
Ability to work independently and manage multiple transactions simultaneously, in a fast-paced environment.
Commercial acumen and a proactive, solution-oriented mindset.
