We are hiring an experienced Commercial Counsel International to join Toast’s growing Legal team. This role will be based in Ireland, reporting to the Director International Counsel (based in the UK).  The successful candidate will support the company's growth through negotiating contracts with vendors, customers, partners and other third parties. You will work with multiple teams across the business including sales, business development, partnerships,  procurement, customer success,  and other teams.   



About this roll* (Responsibilities)

  • Draft, review, and negotiate a variety of commercial agreements, including terms of use, customer, partnership, non-disclosure, SaaS subscription, vendor, and other commercial or technology licensing agreements.
  • Work closely and collaboratively with cross-functional stakeholders to identify and provide strategic advice and counsel on legal issues impacting Toast’s products, business, and customers.
  • Support the development and maintenance of legal resources and materials to aid business stakeholders in the development of innovative, compliant products and services.
  • Work in partnership with other members of the Toast Legal and Compliance teams to leverage internal subject matter expertise and integrate it into applicable  services, and commercial matters.

Do you have the right ingredients*? (Requirements)

  • A recognized law degree, an admission in good standing as a solicitor or equivalent legal professional by the relevant regulatory body in Ireland, another EU member state, or Canada (including Quebec).
  • 3+ years of post qualification legal experience in commercial/transactional law,  preferably in-house with a fast-paced, high-growth technology, software or fintech company.
  • Strong business and legal acumen with the ability to: advise on multi-jurisdictional issues, quickly identify legal and business issues; balance risks; advise business stakeholders on contract interpretation and deal structures; and devise and articulate business-oriented and practical solutions to various internal and external audiences. 
  • Ability to work with independence, manage competing priorities effectively, and meet deadlines.
  • A solution-oriented, customer-service, and growth mindset.
  • A collaborative approach, with proven ability to integrate effectively into cross-functional teams and build strong partnerships, in a diverse and inclusive environment.
  • Hands-on orientation: Ability to solve problems and thrive in high-growth, fast-paced settings and be proactive in rapidly evolving environments and situations of ambiguity. Tendency for diving into the work as a hands-on, execution-oriented team member.
  • Resilience and business orientation: Aptitude for maintaining a positive spirit whilst recovering from setbacks throughout difficult situations. Business-oriented mindset with a demonstrated history of serving as a trusted and strategic advisor to stakeholders.
  • Excellent communication skills, able to explain complex legal concepts succinctly to non-legal audiences.

Special Sauce* (Nice to Haves)

  • Additional qualification to practice in at least one other EU Member State;
  • Full professional proficiency in French (reading, drafting, and negotiation of commercial contracts).
