Purpose of the Position 

The Head of Compliance and MLRO for Pantheon Ireland will be responsible for the regulatory compliance function of Pantheon Ireland, including MLRO responsibilities, and the AIFs and other mandates for which Pantheon Ireland acts as the AIFM. This position is a Pre-Approved Control (PCF) function under the Central Bank of Ireland regulations, reporting to the CEO Ireland. 

This is a Vice President Level position

Roles & Responsibilities: 

AIFM Compliance

  • Ensuring that Pantheon Ireland is compliant with its regulatory permissions and authorisations including but not limited to AIFMD, MiFID, Fitness & Probity, IAF, AML, KYC and any other ongoing requirements as necessary
  • Acting as the key relationship owner and point of contact with the CBI for Pantheon Ireland
  • Acting as the MLRO for Pantheon Ireland
  • Draft, maintain and update policies and procedures
  • Ensuring timely submission of all regulatory filings for Pantheon Ireland to the relevant regulatory authorities
  • Development, delivery and maintenance of the Compliance Monitoring Plan and Compliance Policies and Procedures for the business, in conjunction with Group compliance where necessary
  • Provision of training of staff and Board of Directors on compliance issues
  • Reporting to the AIFM Board of Directors on a regular basis
  • Compliance recordkeeping associated with adherence to the Global Code of Ethics – personal trading, outside business activities, gifts & entertainment, etc
  • Assisting in the oversight and performance monitoring of outsourced service providers
  • Liaising with Group compliance as necessary for day to day and project work
  • Review of Regulatory Developments/Notices relevant to the Pantheon group & writing entries for the Pantheon internal Legal, Regulatory and Tax updates
  • Coordinate with internal groups (tax, finance, operations, human resources, marketing, investor relations and investment teams)
  • Regular interface with internal and outside counsel/consultants/service providers regarding regulatory matters

Fund Regulatory Compliance

  • Discharge Pantheon Ireland’s regulatory compliance responsibilities under CP86 for the funds under management
  • Acting as MLRO for the Funds
  • Ensuring timely submission of all regulatory filings for the Funds to relevant regulatory authorities including the CBI, CSSF and AED
  • Preparation and delivery of Board reporting to the AIFM Board and the Funds Board for funds under management
  • Identify and report on legislative and industry developments which may impact on the funds and/or Pantheon Ireland
  • Acting as the key point of contact for the Boards of funds under management on compliance and regulatory issues

Group Compliance

  • Assistance to the Global Compliance function with global compliance tasks including but not limited to assistance with Marketing Promotions approvals and associated marketing guidelines, AML and Compliance Monitoring.
  • Provision of advice to business in respect of general compliance related queries including escalation of significant issues, interpretation of applicable rules and guidance and reviewing content of compliance programme.

Knowledge and Experience Required:

  • Experience in Compliance in asset management 
  • Significant exposure and experience dealing with the CBI
  • A working knowledge of regulations particularly AIFMD, MiFID, CP86, CBDR, IAF, EU AML requirements
  • A good understanding of Luxembourg and Irish regulations
  • Experience working with Part II UCI Luxembourg vehicle(s) an advantage
  • Experience working in private wealth channels an advantage
  • Stakeholder management experience
  • Attention to detail, approach work methodically
  • Good organizational skills and ability to prioritize workflow
  • Strong time management skills and ability to work independently and to work on several projects simultaneously
  • Excellent communication skills, ability to build relationships within the business
  • Good report writing skills
  • Team player
