Job Description
ServiceNow is currently seeking a Corporate Counsel to be based in Dublin, reporting to the Senior Corporate Counsel (also based in Dublin). The role will help support the continued growth of the ServiceNow business, with a particular focus on ServiceNow's expansion of our go-to-market offering using Hyperscaler architecture, including in new markets.
This is a unique opportunity to play a pivotal role in ServiceNow's growing Corporate Legal team and to work on challenging legal issues in an exciting, fast-paced environment.
What you get to do in this role:
- Provide legal advice to various cross-functional teams within ServiceNow, including Finance, Tax, Sales and Operations, and Engineering, as well as supporting our wider Legal teams, with a particular focus on ServiceNow's expansion of our go-to-market offering using Hyperscaler architecture, including in new markets.
- Deliver business oriented, risk-based guidance on the full range of corporate legal matters in relation to strategic projects, including advising on emerging areas of law and partnering with outside counsel to deliver guidance on law in jurisdictions that are new to ServiceNow.
- Support key legal and cross-functional projects on other corporate strategy initiatives, market expansions, and overall commercial enablement.
- Develop strong knowledge of various business models and contractual arrangements utilised by ServiceNow (e.g. direct sales, resellers, partners, etc.) and proactively deliver legal services to build and enhance ServiceNow's business in EMEA, APJ and other regions around the world.
- Support corporate matters for ServiceNow's corporate structure, including inter-company loans, dividends, capital injections, intra-group contractual arrangements and project-driven activities, including restructurings, M&A integration and international treasury related activities.
- Assist the wider Corporate Legal team as required with matters for ServiceNow's international subsidiaries including governance, board meetings, corporate filings, reporting and other requirements.
Qualifications
To be successful in this role, we need someone who has:
- Irish/U.K. law degree.
- 3+ years of relevant, post-qualification legal experience.
- Broad experience in corporate law, with some international and in-house experience preferred, but not essential.
- Some knowledge and understanding of IP, software/technology licensing and commercial contract law.
- Business and results oriented with a pro-active, flexible and real-world approach to problem-solving, and the ability to make sound decisions and exercise good judgment.
- Excellent interpersonal skills, a good sense of humor, and a proven ability to build strong and deep working relationships with internal stakeholders over multiple geographical locations.
- Motivated and enthusiastic team player.
- Strong analytical, issue-spotting and investigatory skills - able to quickly analyse complex factual situations and identify, understand and evaluate key risk issues.
- Ability to work independently and under pressure and handle multiple competing tasks simultaneously and thoroughly to closure.
- Proactive, commercial, and focused communication style, with experience at tailoring your message for legal and non-legal recipients alike.
- Excellent project management skills, with strong examples of this in action.
